Araati Seller Terms and Conditions

These Seller Terms and Conditions (“Agreement”) govern the relationship between Araati (“Araati”, “we”, “our”, or “us”) and any individual or business entity (“Seller”, “you”, or “your”) that registers, lists, markets, or sells products through the Araati marketplace platform, website, mobile application, or any associated services.
By registering as a Seller on Araati, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions.
1. Definitions
For the purpose of this Agreement:

Platform means the Araati website, mobile application, systems, tools, and services.

Customer means any user purchasing products through the Platform.

Products means fashion, beauty, skincare, accessories, apparel, cosmetics, hair products, personal care items, and related goods offered by Sellers.

Seller Account means the account created by the Seller to access and use the Platform.

Order means a purchase transaction initiated by a Customer through the Platform.

Commission means the percentage or fee charged by Araati on completed sales.
-
Confidential Information means non-public business, operational, technical, or commercial information disclosed between the parties.
2. Eligibility and Registration
2.1 Sellers must be at least eighteen (18) years old and legally capable of entering into binding contracts.
2.2 Businesses registering on Araati must provide valid business registration details, tax information, identification documents, and any licenses required under applicable laws.
2.3 Sellers agree to provide accurate, complete, and updated information during registration and throughout the duration of their use of the Platform.
2.4 Araati reserves the right to approve, reject, suspend, or terminate any Seller application or account at its sole discretion.
2.5 Sellers are responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their Seller Account.
3. Scope of Services
3.1 Araati provides an online marketplace that enables Sellers to advertise, market, and sell products directly to Customers.
3.2 Araati acts solely as a marketplace facilitator and is not the owner, manufacturer, importer, distributor, or reseller of Seller products unless otherwise stated.
3.3 Sellers acknowledge that Araati may provide additional services including:

Marketing and promotional support;

Payment processing;
-
Logistics and delivery coordination;
-
Customer support services;
-
Product photography and content services;
-
Warehousing or fulfillment services where applicable.
3.4 Araati reserves the right to modify, improve, suspend, or discontinue any part of the Platform or services at any time.
4. Seller Obligations
4.1 Sellers agree to:

Sell only authentic, lawful, safe, and high-quality products;

Ensure products comply with all applicable laws, standards, and regulations;

Maintain accurate inventory levels;
-
Fulfill orders promptly and professionally;
-
Provide accurate product descriptions, images, pricing, sizes, ingredients, specifications, and availability;
-
Respond to customer inquiries in a timely manner;
-
Maintain professional conduct while using the Platform.
4.2 Sellers shall not:

Sell counterfeit, imitation, stolen, defective, prohibited, or expired products;

List misleading, inaccurate, or deceptive product information;
-
Manipulate reviews, ratings, or platform systems;
-
Circumvent Araati payment systems;
-
Contact customers outside the Platform for unauthorized marketing or transactions;
-
Upload harmful software, malicious code, or unauthorized content.
4.3 Sellers are solely responsible for ensuring that all cosmetics, skincare, haircare, and beauty products comply with health and safety standards, ingredient disclosure requirements, and expiration labeling regulations.
5. Product Listings
5.1 Sellers are responsible for creating and maintaining accurate product listings.
5.2 Product listings must include:

Product title;

Detailed description;
-
Correct pricing;
-
Available sizes or variants;
-
Product images;
-
Material or ingredient information where applicable;
-
Usage instructions where relevant.
5.3 Araati reserves the right to edit, remove, suspend, reject, or restrict any listing that violates these Terms, applicable law, or Araati policies.
5.4 Sellers grant Araati a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, market, and distribute product images, logos, trademarks, descriptions, and related content for promotional and operational purposes.
6. Pricing and Commission
6.1 Sellers are responsible for setting the retail prices of their products unless otherwise agreed.
6.2 Araati may charge commission fees, service charges, advertising fees, subscription fees, logistics fees, payment processing charges, storage fees, or other applicable fees.
6.3 Applicable fees and commissions shall be communicated to Sellers separately and may be updated from time to time.
6.4 Araati reserves the right to deduct applicable fees, refunds, penalties, chargebacks, taxes, or other amounts owed before remitting payments to Sellers.
6.5 Sellers agree not to engage in price manipulation or unfair pricing practices.
7. Orders, Fulfillment, and Delivery
7.1 Sellers are responsible for fulfilling confirmed orders within the timelines communicated by Araati.
7.2 Sellers shall ensure that products are packaged securely, professionally, and in compliance with applicable shipping standards.
7.3 Sellers must ensure all products delivered match the descriptions and specifications provided in the product listing.
7.4 Araati may cancel orders where:

Products are unavailable;
-
Sellers fail to fulfill orders within required timelines;
-
Fraudulent activity is suspected;
-
Pricing errors occur;
-
Product listings violate Platform policies.
7.5 Repeated order cancellations, delayed shipments, poor fulfillment performance, or customer complaints may result in penalties, suspension, reduced visibility, or account termination.
8. Returns and Refunds
8.1 Sellers agree to comply with Araati’s return and refund policies.
8.2 Customers may request returns or refunds for reasons including:

Defective products;

Incorrect items;

Damaged products;
-
Counterfeit products;
-
Expired beauty or skincare products;
-
Products materially different from their descriptions.
8.3 Sellers shall bear responsibility for return shipping costs, refunds, replacements, or compensation where the Seller is at fault.
8.4 Araati reserves the right to process customer refunds directly and recover applicable amounts from the Seller.
9. Payments and Settlement
9.1 Araati shall process payments collected from Customers and remit eligible amounts to Sellers according to the agreed settlement schedule.
9.2 Settlement periods may vary depending on:

Return periods;

Fraud verification;

Payment processing timelines;
-
Seller performance reviews.
9.3 Araati may withhold payments temporarily where:

Fraudulent activity is suspected;

Excessive returns or disputes occur;

Verification documents are pending;

Legal or regulatory obligations require withholding.
9.4 Sellers are solely responsible for paying all taxes, duties, levies, and government charges associated with their business operations and sales.
10. Intellectual Property
10.1 Sellers represent and warrant that they own or have the legal right to use all trademarks, logos, product images, content, and materials uploaded to the Platform.
10.2 Sellers shall not infringe upon any intellectual property rights of third parties.
10.3 Araati reserves the right to remove content alleged to infringe intellectual property rights and may suspend offending Seller accounts.
10.4 Sellers grant Araati the right to use their business name, trademarks, logos, and product content for advertising, promotional campaigns, social media marketing, and marketplace operations.
11. Customer Service Standards
11.1 Sellers shall maintain high standards of customer service.
11.2 Sellers must respond to customer inquiries, complaints, and disputes within the timelines specified by Araati.
11.3 Araati may monitor Seller performance using metrics including:

Order cancellation rate;

Return rate;
-
Customer ratings;
-
Delivery performance;
-
Complaint frequency;
-
Product authenticity compliance.
11.4 Sellers with consistently poor performance may face penalties, restrictions, or account termination.
12. Prohibited Products and Activities
12.1 Sellers shall not list or sell prohibited products including but not limited to:

Counterfeit goods;
-
Illegal substances;
-
Unsafe cosmetics;
-
Expired beauty products;
-
Stolen goods;
-
Products violating intellectual property rights;
-
Adult or offensive materials prohibited by law;
-
Hazardous or restricted items.
12.2 Sellers shall not engage in:

Fraudulent transactions;
-
Fake reviews or ratings;
-
Abuse of promotional campaigns;
-
Money laundering activities;
-
Unauthorized data collection;
-
Spam or misleading advertising.
12.3 Araati reserves the right to remove prohibited listings immediately without prior notice.
13. Compliance with Laws
13.1 Sellers agree to comply with all applicable local and international laws, regulations, standards, and industry requirements.
13.2 Sellers dealing in cosmetics, skincare, haircare, fragrances, and related beauty products shall ensure compliance with:

Product safety regulations;

Consumer protection laws;
-
Labeling requirements;
-
Ingredient disclosure obligations;
-
Importation and distribution laws;
-
Health authority regulations.
13.3 Sellers shall cooperate with Araati during compliance investigations, audits, or regulatory requests.
14. Data Protection and Privacy
14.1 Sellers shall protect customer data and confidential information obtained through the Platform.
14.2 Sellers shall not:

Share customer data with unauthorized parties;

Use customer data for unauthorized marketing;
-
Store payment information improperly;
-
Violate privacy or data protection laws.
14.3 Araati may collect, process, and store Seller information in accordance with its Privacy Policy.
15. Suspension and Termination
15.1 Araati may suspend, restrict, or terminate Seller accounts immediately where:

These Terms are violated;
-
Fraud or illegal activity is suspected;
-
Counterfeit products are identified;
-
Customer complaints become excessive;
-
Regulatory risks arise;
-
Required documents are not provided.
15.2 Upon termination:

Product listings may be removed;
-
Pending settlements may be withheld pending investigation;
-
Outstanding obligations shall remain enforceable.
15.3 Sellers may terminate their participation by providing written notice to Araati, subject to the completion of all pending transactions and obligations.
16. Indemnification
16.1 Sellers agree to indemnify, defend, and hold harmless Araati, its affiliates, directors, employees, agents, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

Seller products;

Breach of these Terms;

Violation of laws or regulations;

Intellectual property infringement;
-
Customer claims or disputes;

Negligence or misconduct by the Seller.
17. Limitation of Liability
17.1 To the maximum extent permitted by law, Araati shall not be liable for:

Loss of profits;

Business interruption;

Indirect or consequential damages;

Losses arising from Seller conduct or products;
-
Delays caused by third-party service providers.
17.2 Araati’s total liability arising under this Agreement shall not exceed the total fees paid by the Seller to Araati during the six (6) months preceding the claim.
18. Confidentiality
18.1 Both parties agree to maintain the confidentiality of proprietary and non-public information disclosed during the business relationship.
18.2 Confidential information shall not be disclosed to third parties except where required by law or with prior written consent.
19. Force Majeure
19.1 Araati shall not be liable for delays or failure to perform obligations caused by events beyond its reasonable control including:

Natural disasters;

Internet or system failures;
-
Government actions;
-
Pandemics;
-
Civil unrest;
-
Labor disputes;
-
Power outages.
20. Amendments
20.1 Araati reserves the right to amend these Terms and Conditions at any time.
20.2 Updated Terms shall become effective upon publication on the Platform.
20.3 Continued use of the Platform after updates constitutes acceptance of the revised Terms.
21. Governing Law and Dispute Resolution
21.1 These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction where Araati operates.
21.2 Any dispute arising from these Terms shall first be resolved through good-faith negotiations.
21.3 Where disputes cannot be resolved amicably, they shall be submitted to the competent courts or arbitration body within the applicable jurisdiction.

22.1 Notices under this Agreement may be delivered through:

22.2 Sellers are responsible for maintaining updated contact information.
23. Entire Agreement
23.1 These Terms and Conditions constitute the entire agreement between Araati and the Seller concerning use of the Platform.
23.2 Any prior agreements, understandings, or communications relating to the subject matter are superseded by these Terms.
